This Amendment No. 1 to Schedule 13D relates to the Class A Common Stock, no par value (the "Class A Common Stock"), of ACMAT Corporation. Capitalized terms used herein without definition shall have the meanings given to such terms in the Schedule 13D relating to the Class A Common Stock filed with the Securities and Exchange Commission on August 8, 1996 (the "Schedule 13D"). Item 5. Interest in Securities of Issuer. Item 5 is amended by adding the following: "On February 4, 1997, pursuant to a Stock Purchase Agreement among ACMAT Corporation and AIG Life Insurance Company and American International Life Assurance Company of New York dated as of January 31, 1997, AILIFE and AIG LIFE sold all of the Class A Common Stock to the Company for a purchase price comprised of $4,174,942 in cash and $12,000,000 aggregate principal amount of Senior Notes of the Company due January 31, 2005.
