Item 5.02. Departure of Directors or Principal Officers; Election of Directors;
           Appointment of Principal Officers.

      On April 21, 2005, American International Group, Inc. (AIG) was notified
by Frank J. Hoenemeyer, director of AIG, that he will retire from the Board of
Directors following AIG's 2005 Annual Meeting of Shareholders. The date of AIG's
2005 Annual Meeting of Shareholders has not been scheduled. Mr. Hoenemeyer is a
member of the Compensation, Executive, Finance and Audit Committees of the
Board of Directors.
